1. Agreement to Terms

Welcome to PodFlow Studio ("Company", "we", "our", "us"). By accessing or using our website, services, and applications (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

2. Account Terms

• You must be at least 18 years old to use this Service.
• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account and password.
• You are responsible for all activities that occur under your account.
• You must not use the Service for any illegal or unauthorized purpose.
• One account per person or organization. Multiple accounts for the same entity are not permitted.

3. Subscription and Billing

3.1 Subscription Plans

PodFlow Studio offers the following subscription tiers:

• Free: 10 AI generations per month
• Pro ($19/month): Unlimited generations, style guides, priority support
• Business ($49/month): Everything in Pro plus bulk editor and API access

3.2 Payment Terms

• Subscriptions are billed monthly in advance.
• All payments are processed securely through Stripe.
• Prices are subject to change with 30 days notice.
• You will not receive a refund for partial months of service.
• Failure to pay may result in service suspension or termination.

3.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the period. No refunds are provided for early cancellation.

4. Acceptable Use

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malicious code or viruses
• Attempt to gain unauthorized access to the Service
• Use the Service to generate spam, offensive, or illegal content
• Resell or redistribute the Service without permission
• Reverse engineer or attempt to extract source code
• Use automated systems to access the Service except through our API
• Abuse or overload our infrastructure

5. Content and Ownership

5.1 Your Content

You retain all rights to the podcast content, metadata, and information you provide to PodFlow Studio. You grant us a limited license to use, process, and display your content solely for the purpose of providing the Service.

5.2 AI-Generated Content

Content generated by our AI tools (titles, descriptions, etc.) is provided to you for your use. We do not claim ownership of AI-generated content. However, you acknowledge that similar content may be generated for other users.

5.3 Our Service

The Service, including its design, code, features, and functionality, is owned by PodFlow Studio and protected by international copyright, trademark, and other intellectual property laws.

6. Third-Party Services

PodFlow Studio integrates with third-party services including:

• Google OAuth: For authentication
• RSS.com: For podcast data synchronization
• Anthropic Claude: For AI content generation
• Stripe: For payment processing

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services or their content.

7. API Usage (Business Tier)

If you have access to our API:

• You must use authentication credentials properly and keep them secure
• Rate limits apply as specified in your plan
• You may not abuse or attempt to circumvent rate limits
• API access may be revoked for violation of terms

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free. We do not guarantee the accuracy, completeness, or usefulness of AI-generated content.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PODFLOW STUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount you paid us in the twelve (12) months prior to the event giving rise to liability.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of personal data as outlined in the Privacy Policy.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination, your right to use the Service will immediately cease. We may delete your account data after termination, though we may retain some data as required by law or for legitimate business purposes.

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the new Terms.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which PodFlow Studio operates, without regard to conflict of law principles.
